Counseling businesses on day-to-day corporate legal matters, including entity maintenance requirements and compliance with state and federal corporate and securities laws.

Commercial Transactions

Preparation, negotiation and review of various business agreements, including professional services, consulting, strategic alliance, joint venture, vendor, supply, distribution, licensing, and management agreements.


Handling of private equity and debt financings, including preparation of private placement memorandums, stock purchase and subscription agreements, operating agreements, amended charters for corporations, review of due diligence materials, and assurance of compliance with federal and state securities laws.

Mergers, Acquisitions and Asset Sales

Handling of mergers, acquisitions and asset sales, including preparation, negotiation and review of stock and/or asset purchase agreements, merger agreements, letters of intent and other documents related to mergers and acquisitions, as well as review of due diligence materials.


Counseling regarding local ordinances related to employees and employee policies, as well as drafting and reviewing employee handbooks.

Electronic Storage of Information

Counseling businesses regarding their electronic storage of information policies and procedures, and their compliance with the relevant industry regulations, and federal and state legislation.
